Welcome to Centr.

These Terms & Conditions (“Terms”) govern your access to and use of the Centr mobile application, website, and any related services (collectively, the “Service”).

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

1. Who We Are

Centr is a social wellness app that helps you manage your friendships more intentionally—through calendar-aware planning, reminders, reflection tools, and optional premium features.

2. Eligibility & Account Requirements

To use Centr, you must:

Be at least 13 years old, or the minimum age of digital consent in your jurisdiction (if higher).
Have the legal authority to enter into a binding agreement under the laws of your jurisdiction.
Not be prohibited from using the Service under any applicable law or regulation.

By creating an account or using the Service, you represent and warrant that you meet these requirements.

You are responsible for:

Keeping your login credentials confidential
All activity that occurs under your account
Notifying us promptly if you suspect unauthorized use of your account

We reserve the right to refuse service, close accounts, or change eligibility criteria at any time, in our sole discretion.

3. Description of the Service

Centr is designed to help you:

Track and plan social time through My Centr (calendar, goals, Inner Circle, reminders, reflections)
Coordinate 1:1 and group hangouts through Social Centr (scheduling, one-time links, circles, community suggestions)
Reflect on your social wellness (e.g., follow-through rate, social “streaks”, energy patterns – where available)

Circl does not:

Guarantee you will make new friends or improve existing relationships
Provide medical, psychological, or mental health advice
Replace professional care providers (e.g., therapists, doctors, crisis services)

Any wellness insights offered are informational only and should not be taken as clinical, therapeutic, or diagnostic advice.

We may add, modify, or remove features over time.

4. Subscriptions, Fees & Payments

Centr offers a free tier and may offer one or more paid subscription plans (“Premium”).

4.1 Pricing

Current pricing for Premium (e.g., $4.99/month) is displayed in the app or relevant app store listing.
We may change prices from time to time. Price changes will apply at the next billing period and will be communicated in advance where required by law.

4.2 Billing & Auto-Renewal

If you subscribe through the Apple App Store, Google Play Store, or similar platforms, billing is handled by that store.
Subscriptions typically renew automatically at the end of each billing period unless you cancel at least 24 hours before renewal.
You can manage or cancel your subscription through your app store account settings.

4.3 Refunds

Because subscription payments are processed by third-party app stores:

Refunds are generally governed by the policies of the app store (Apple, Google, etc.).
We do not issue direct refunds for store-billed subscriptions.
If you believe you are entitled to a refund, please contact your app store provider.

5. Non-Commercial Use & Relationship Boundaries

Centr is intended for personal, non-commercial use only. You may not use the Service to:

Harass, stalk, or otherwise harm others
Spam or send unwanted solicitations
Coordinate commercial or illegal activity
Collect data about others without their knowledge or consent

You are solely responsible for the relationships and communications you maintain through Centr, both inside and outside the app.

6. User Content & Your Responsibilities

6.1 User Content

“User Content” means any information you enter or upload into Centr, including but not limited to:

Names and details of friends and contacts
Notes (e.g., birthdays, preferences, reminders like “Wish Kate luck Monday”)
Logged interactions, energy ratings, goals
Community posts, feedback, or other contributions

You retain ownership of your User Content. By using the Service, you grant Centr a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, modify, and create derivative works from your User Content solely for the purpose of providing and improving the Service.

6.2 Your Promises

You agree that:

You have the necessary rights to all User Content you upload.
Your User Content does not infringe the rights of any third party (privacy, copyright, trademark, contract, or other rights).
You will not post or store content that is unlawful, abusive, hateful, harassing, sexually explicit, or otherwise inappropriate.
You will not upload sensitive personal data about others without their consent (e.g., health information, financial data, or legal issues).

We may remove or restrict access to User Content that we believe violates these Terms, or applicable laws, or risks harm to others.

7. Privacy & Data Use

Your privacy is important to us. Our Privacy Policy explains:

What information we collect
How we use, store, and share it
Choices and controls you have over your data

By using the Service, you also agree to our Privacy Policy. Please review it carefully.

8. Third-Party Services & Integrations

Centr may integrate with third-party services, for example:

Calendar providers (e.g., Google Calendar, Apple Calendar, Outlook)
Reservation or activity platforms (e.g., Resy, OpenTable, mapping or location services)
Analytics and infrastructure tools

When you connect to a third-party service, you authorize Centr to access and process information from that service as needed to provide features (e.g., free/busy information for scheduling).

We do not control these third-party services and are not responsible for:

Their content, privacy practices, or security
Any downtime, errors, or issues caused by these services

Your use of third-party services is subject to their own terms and policies.

9. Communications & Notifications

We may contact you to:

Send service-related notifications (e.g., account changes, security alerts, critical updates)
Provide reminders and nudges you opt into (e.g., cadence reminders, upcoming events, travel prompts)
Share product updates, surveys, or marketing communications (where permitted by law and your preferences)

You can manage your notification preferences in the app and/or in your device settings. Some essential communications (e.g., privacy or security notices) may still be sent even if you opt out of marketing messages.

10. License & Intellectual Property

Centr and all content, features, and functionality (excluding User Content) are owned by its licensors and are protected by copyright, trademark, and other intellectual property laws.

Except as expressly permitted in these Terms, you may not:

Copy, modify, distribute, sell, or lease any part of the Service
Reverse engineer, decompile, or attempt to extract the source code
Use any trademarks, logos, or branding without our prior written consent

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes, in accordance with these Terms.

11. Acceptable Use & Prohibited Activities

You agree not to use the Service to:

Violate any law, regulation, or third-party right
Harass, threaten, or harm any person or group
Interfere with the security or functionality of the Service
Upload or transmit viruses, malware, or other harmful code
Use automated systems (e.g., bots, scrapers) to access the Service without our permission
Misrepresent your identity or affiliation

We may suspend or terminate your access to the Service if, in our sole judgment, you violate these Terms or create risk or possible legal exposure for Centr or other users.

12. Termination & Suspension

We may, at our sole discretion, with or without notice:

Suspend or terminate your access to part or all of the Service
Remove or restrict access to User Content
Disable accounts that appear inactive, fraudulent, or abusive

You may stop using Centr and request deletion of your account at any time by contacting us at info@centrtheapp.com or using any provided in-app tools.

Upon termination:

Your right to use the Service will immediately cease.
We may retain certain information as described in our Privacy Policy and/or as required by law.

13. Disclaimers

To the maximum extent permitted by law:

The Service is provided on an “AS IS” and “AS AVAILABLE” basis.
We do not guarantee that the Service will be uninterrupted, secure, or error-free.
We make no representations about specific outcomes from using Centr (e.g., making friends, reducing loneliness, improving mental health).

Centr is not a crisis service or a substitute for professional care. If you are in crisis or considering self-harm, please contact local emergency services or a crisis hotline immediately.

14. Limitation of Liability

To the maximum extent permitted by applicable law:

Centr and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Service.
Our total liability for any claims related to the Service shall not exceed the greater of (i) the amount you paid for Premium in the three (3) months prior to the event giving rise to the claim, or (ii) $50 USD.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Centr, its owners, officers, employees, contractors, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

Your access to or use of the Service
Your violation of these Terms
Your User Content
Your violation of any third-party right, including privacy, publicity, or intellectual property rights

16. Changes to the Service and Terms

We may:

Modify or discontinue portions of the Service at any time, with or without notice
Update these Terms from time to time

When we make material changes, we will:

Update the “Effective date” at the top
Provide additional notice where required (e.g., in-app notice or email)

Your continued use of the Service after changes are posted means you accept the updated Terms. If you do not agree to the new Terms, you must stop using the Service.

17. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of New York without regard to its conflict-of-law principles.

You agree that any legal action or proceeding arising out of or relating to the Service shall be brought exclusively in the courts located in New York, and you consent to the jurisdiction of such courts.

18. Promotional Content & User Testimonials

From time to time, we may:

Feature anonymized usage stories, metrics, or testimonials (with your consent, if identifiable).
Ask if you’d like to participate in interviews, surveys, or research in connection with product development.

You are never required to participate in promotional activities, and your decision will not affect your ability to use the Service.

19. Community Features (If/When Enabled)

If Centr includes communities (e.g., groups, discussion spaces), you understand that:

Your profile and posts may be visible to other users within that community.
You are responsible for what you share and how you interact with others.
We may moderate or remove content that violates these Terms or community guidelines.

You may leave a community at any time; doing so may hide or limit visibility of your profile in that space.
