Centr – Terms & Conditions

Welcome to Centr.

These Terms & Conditions ("Terms") govern your access to and use of the Centr mobile application, website, the web-based plan and poll links we generate, and any related services (together, the "Service"). The Service is provided by Find Your Center LLC ("Centr," "we," "us," or "our").

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

1. Who We Are

Centr is a social wellness app that helps you stay close to the people you already care about — through reminders about the moments that matter, calendar-aware planning, lightweight polls, and post-plan reflections.

2. Eligibility & Account Requirements

To use Centr, you must:

Be at least 16 years old, or the minimum age of digital consent in your jurisdiction if higher;
Have the legal authority to enter into a binding agreement; and
Not be barred from using the Service under any applicable law.

By creating an account or using the Service, you represent and warrant that you meet these requirements.

You are responsible for keeping your login credentials confidential, for all activity under your account, and for notifying us promptly at hello@centrtheapp.com if you suspect unauthorized use. We may refuse service, close accounts, or change eligibility criteria at our discretion.

3. Description of the Service

Centr is designed to help you:

Remember and act on the details that matter to your people (birthdays, reminders, notes);
Plan and coordinate 1:1 and group time, including through shareable plan and poll links; and
Reflect on your social wellness (for example, follow-through and how plans leave you feeling).

Centr does not:

Guarantee that you'll make new friends or improve existing relationships;
Provide medical, psychological, or mental health advice; or
Replace professional care (therapists, doctors, or crisis services).

Any wellness insights are informational only and are not clinical, therapeutic, or diagnostic advice. We may add, change, or remove features over time.

4. Plan and poll links, and people who aren't on Centr

Centr lets you create plans and polls and share them by link so others can respond, including people who don't have the app.

You understand and agree that:

Anyone who has a plan or poll link can open and respond to it — these links don't require an account or password. Share them only with the people you intend to invite, and don't post them publicly.
You are responsible for the people you invite and the contact information you enter or import. You represent that you have a reasonable basis to contact the people you add, and that you won't use Centr to message people who don't want to hear from you.
When you collect a phone number through a plan link, that person is told their number will be used to send reminders about that plan. Don't use these links to gather contact information for any other purpose.

How we handle information from non-users (including their name and any phone number) is described in our Privacy Policy.

5. Non-Commercial Use & Relationship Boundaries

Centr is for personal, non-commercial use. You may not use the Service to:

Harass, stalk, threaten, or harm anyone;
Spam or send unwanted solicitations;
Coordinate commercial or illegal activity; or
Collect or store information about others without a legitimate basis.

You are solely responsible for the relationships and communications you maintain through Centr, inside and outside the app.

6. User Content & Your Responsibilities

Your Content means anything you enter or upload into Centr — names and details of friends and contacts, notes (birthdays, preferences, reminders), logged interactions, energy ratings, goals, poll responses, feedback, and any community contributions.

You keep ownership of Your Content. You grant Centr a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and modify Your Content solely to provide and improve the Service.

You agree that:

You have the rights necessary to the content you upload;
Your Content doesn't infringe anyone's privacy, intellectual property, or other rights;
You won't store content that is unlawful, abusive, hateful, harassing, or sexually explicit; and
You won't store sensitive personal data about other people (such as health, financial, or legal details) without their consent.

We may remove or restrict content we reasonably believe violates these Terms or the law, or risks harm to others.

7. Privacy & Data Use

Your privacy matters to us. Our Privacy Policy explains what we collect, how we use and protect it (including how we keep your identifying details structurally separate from your activity and de-identify data for analysis), and the choices you have. By using the Service you also agree to the Privacy Policy.

We do not sell or rent your identifiable personal information.

8. Messaging, notifications, and SMS

We may contact you to send service notifications (account, security, and critical updates), reminders and nudges you opt into, and — where permitted and based on your preferences — product updates and marketing.

If you provide a phone number for text messages, you consent to receive texts related to the relevant feature or plan. Message and data rates may apply, and message frequency varies. Reply STOP to opt out or HELP for help. You can manage notifications in the app and your device settings. Some essential messages may still be sent even if you opt out of marketing.

9. Third-party services and integrations

Centr integrates with third-party services, including calendar providers (Google, Apple, Microsoft Outlook), and may integrate with reservation, mapping, or activity platforms. When you connect one, you authorize Centr to access and process information from it as needed to provide features (for example, free/busy availability for scheduling).

We don't control these services and aren't responsible for their content, privacy practices, security, or availability. Your use of them is subject to their own terms.

10. License & Intellectual Property

Centr and all content, features, and functionality (other than Your Content) are owned by Centr and its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes under these Terms.

Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Service; reverse engineer or attempt to extract source code; or use our trademarks, logos, or branding without our prior written consent.

11. Acceptable Use & Prohibited Activities

You agree not to:

Violate any law, regulation, or third-party right;
Harass, threaten, or harm any person or group;
Interfere with the security or functionality of the Service;
Upload viruses, malware, or other harmful code;
Use bots, scrapers, or other automated means to access the Service without permission; or
Misrepresent your identity or affiliation.

We may suspend or terminate access if we reasonably judge that you've violated these Terms or created risk or legal exposure for Centr or others.

12. Termination & Suspension

We may, at our discretion and with or without notice, suspend or terminate access to part or all of the Service, remove or restrict Your Content, or disable accounts that appear inactive, fraudulent, or abusive.

You may stop using Centr and request deletion of your account at any time by contacting hello@centrtheapp.com or using in-app tools. On termination, your right to use the Service ends; we may retain certain information as described in our Privacy Policy or as required by law.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE." We don't guarantee it will be uninterrupted, secure, or error-free, and we make no promises about specific outcomes (such as making friends, reducing loneliness, or improving mental health).

Centr is not a crisis service or a substitute for professional care. If you are in crisis or considering self-harm, please contact local emergency services or a crisis hotline immediately.

14. Limitation of Liability

To the maximum extent permitted by law, Centr and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service.

Our total liability for any claims relating to the Service will not exceed the greater of (i) the amount you paid us, if any, in the three (3) months before the event giving rise to the claim, or (ii) $50 USD. Some jurisdictions don't allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Centr and its owners, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, Your Content, or your violation of any third-party right.

16. Paid features (if and when offered)

Centr is currently free to use. If we introduce paid or premium features in the future:

Pricing will be shown in the app or relevant app store listing before you buy;
Subscriptions billed through the Apple App Store or Google Play are handled by that store, typically renew automatically unless cancelled in advance, and are managed through your app store account; and
Refunds for store-billed subscriptions are governed by the app store's policies.

We'll update these Terms with any specific paid-feature terms before charging you.

17. Changes to the Service and these Terms

We may modify or discontinue parts of the Service at any time, and we may update these Terms from time to time. For material changes, we'll update the "Effective date" above and provide additional notice where required (in-app or by email). Continued use after changes take effect means you accept the updated Terms. If you don't agree, stop using the Service.

18. Governing law and disputes

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of the State of New York, without regard to its conflict-of-law principles. You agree that any legal action will be brought exclusively in the state or federal courts located in New York County, and you consent to their jurisdiction.

19. Testimonials and research

From time to time we may feature anonymized usage stories, metrics, or testimonials (with your consent if you're identifiable), or invite you to take part in interviews, surveys, or research. Participation is always optional and won't affect your ability to use the Service.

20. Community features

If Centr adds community spaces, your profile and posts may be visible to other users in that space, you're responsible for what you share, and we may moderate or remove content that violates these Terms or community guidelines. You may leave a community at any time.
